Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Northline Distribution website located at northlinedistribution.com (the "Site") and all related services, products, and content offered by Northline Distribution ("Northline," "we," "us," or "our").
By accessing or using the Site, submitting a quote request, creating a trade account, or placing an order, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Site.
These Terms constitute a legally binding agreement between you and Northline Distribution. We reserve the right to update or modify these Terms at any time, and your continued use of the Site constitutes acceptance of any changes.
Eligibility & Trade Accounts
Trade Account Registration
To access pricing, place orders, or request quotes, you may be required to register for a trade account. When registering, you agree to provide accurate, current, and complete information — including your company name, VAT number, registered address, and authorised contact details.Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised access or use of your account. Northline reserves the right to suspend or terminate any account at our discretion, including for breach of these Terms.Products & Services
Product Information
Northline distributes certified industrial and technical gas cylinders, including food grade gases, technical gases, helium, and private label manufacturing services. All product descriptions, specifications, and images on the Site are provided for informational purposes and may be subject to change without notice.Certification & Compliance
All products supplied by Northline comply with applicable EU standards and regulations, including but not limited to the Transportable Pressure Equipment Directive (TPED), ADR transport regulations, and EU Regulation 1935/2004 for food-contact materials where applicable. Certificates of conformity and safety data sheets are available upon request.Pricing & Availability
All prices displayed on the Site are indicative and subject to confirmation at the time of order. Prices are quoted in the currency specified and are exclusive of applicable taxes, duties, and shipping costs unless stated otherwise. We reserve the right to modify pricing at any time. Product availability is subject to stock levels and may vary by region.Orders & Quotes
Quote Requests
Submitting a quote request through the Site does not constitute a binding order. All quotes provided by Northline are valid for the period specified in the quote document and are subject to product availability at the time of order confirmation.Order Acceptance
An order is only confirmed when Northline issues a written order confirmation. We reserve the right to accept or decline any order at our sole discretion. Factors that may affect acceptance include credit verification, product availability, pricing accuracy, and compliance with trade regulations.Payment Terms
Payment terms are as agreed in your trade account agreement or as specified on the invoice. Unless otherwise agreed in writing, payment is due within 30 days of invoice date. Northline reserves the right to charge interest on overdue payments at the rate permitted by applicable law and to suspend deliveries until outstanding balances are settled.Cancellations & Modifications
Orders may only be cancelled or modified with our prior written consent. Cancellation fees may apply depending on the stage of fulfilment. Custom or private-label orders cannot be cancelled once production has commenced.Shipping & Delivery
Risk of Loss
Risk of loss and title to products pass to you upon delivery to the carrier at the point of shipment, unless otherwise specified in your trade agreement. It is your responsibility to inspect all deliveries upon receipt and to report any damage or discrepancies within 48 hours.Hazardous Goods Transport
All gas cylinder shipments are classified as hazardous goods and are transported in compliance with ADR regulations and applicable national transport laws. You agree to ensure that your facilities and receiving procedures meet all applicable safety requirements for the handling and storage of compressed gases.Returns & Claims
- The product was delivered in a defective condition or does not match the order specification
- A return request is submitted in writing within 14 days of delivery
- The product has not been opened, tampered with, or used
- The return is approved in writing by Northline prior to shipment
Intellectual Property
All content on the Site — including text, graphics, logos, images, product descriptions, data compilations, software, and design — is the property of Northline Distribution or its licensors and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent. The Northline name, logo, and all related trademarks are the property of Northline Distribution and may not be used without our express written permission.
Any feedback, suggestions, or ideas you submit to Northline become our property, and we may use them without restriction or compensation to you.
Limitation of Liability
To the maximum extent permitted by applicable law, Northline Distribution, its directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, business opportunities, or goodwill — arising out of or related to your use of the Site or our products and services, regardless of the theory of liability.
Our total aggregate liability for any claims arising under or related to these Terms shall not exceed the total amount paid by you to Northline in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

- Your violation of any applicable law, regulation, or third-party rights
- Any content or information you submit through the Site
- Your negligence or wilful misconduct
Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Rotterdam, the Netherlands.
Notwithstanding the foregoing, Northline reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Force Majeure
Northline shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control. This includes, but is not limited to, natural disasters, pandemics, war, terrorism, civil unrest, government actions or sanctions, trade embargoes, supply chain disruptions, labour disputes, utility failures, cyberattacks, or disruptions to transportation or communication infrastructure.
In the event of a force majeure, affected obligations will be suspended for the duration of the event, and Northline will use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
The failure of Northline to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Northline.
